Terms of Use · FORA (Foreign as a Service)

1.1. For the purposes of these Terms, the following definitions apply:

a) "LLC": a Limited Liability Company formed under the laws of the State of Delaware, United States of America;

b) "EIN": Employer Identification Number, the federal tax ID issued by the Internal Revenue Service (IRS) of the United States;

c) "Registered Agent": an individual or entity designated to receive official communications on behalf of the LLC in the State of Delaware;

d) "Platform": the website, app, and other digital channels operated by FORA to offer and provide the Services;

e) "Services": the set of services described in Clause 4 of these Terms, according to the plan purchased.

2.1. FORA provides intermediation and administrative support for (i) forming an LLC in the State of Delaware; (ii) obtaining an EIN from the IRS; (iii) designating a Registered Agent; (iv) assisting with opening a remote bank account at a partner institution; (v) online presence (website, Google Business Profile, professional email), according to the plan purchased.

2.2. FORA is not a law firm and does not provide legal, tax, accounting, immigration, or investment advice. The Services described here are intermediation and administrative support before third parties, and do not replace advice from qualified professionals (attorneys, accountants, tax and immigration consultants) for the CLIENT's specific situation.

2.3. Forming an LLC does not, by itself, grant any right to a visa, work permit, residency, or immigration status in the United States.

3.1. The Services are intended for individuals 18 years of age or older, with full legal capacity, who intend to form a company in the United States for lawful purposes.

3.2. FORA reserves the right to refuse to provide Services when it identifies, at its sole discretion, indications of unlawful activity, fraud, or a business segment classified as restricted by its banking partners or the Registered Agent (including, without limitation, unregulated financial services, cryptoassets, gambling, adult content, firearms, and narcotics).

4.1. The available plans (Basic, Pro, and Premium), their respective prices, and the items included in each are as described on the Platform at the time of purchase.

4.2. FORA may change the plans, prices, and items offered at any time, with no retroactive effect on purchases already confirmed and paid for.

4.3. Additional services ("order bumps") may be purchased separately, subject to availability and the prices in effect on the Platform at the time of purchase.

5.1. Payment is made once, at the time of purchase (except for annual renewal services expressly purchased as such), processed through the Stripe payment platform.

5.2. Amounts are quoted and charged in United States dollars (USD). Any amounts shown in Brazilian reais (BRL) are an approximate reference conversion only, and do not represent the amount actually charged or any exchange-rate commitment.

5.3. Fees charged by the CLIENT's card issuer (including foreign transaction taxes, exchange-rate spreads, or installment fees) are the CLIENT's sole responsibility and are not part of the price charged by FORA.

6.1. Estimated turnaround times (standard filing within up to 30 business days; expedited filing within up to 10 business days, when purchased) are estimates based on the ordinary operation of United States government agencies and partner institutions, which are outside FORA's control.

6.2. FORA does not guarantee a specific completion date and will not be liable for delays caused by third parties, including government agencies, banking institutions, the Registered Agent, or force majeure events.

7.1. The CLIENT agrees to provide true, complete, accurate, and up-to-date information, and is solely responsible for any consequences arising from false, incomplete, or outdated information.

7.2. FORA is not liable for delays, third-party refusals, or losses arising from incorrect, incomplete, or fraudulent information provided by the CLIENT.

8.1. FORA acts as an intermediary and facilitator before third parties (the State of Delaware, the IRS, the Registered Agent, partner banking institutions, Google). Approval, refusal, or conditions imposed by such third parties follow their own, independent criteria and do not constitute an obligation of result on FORA's part.

8.2. Under no circumstances will FORA's liability to the CLIENT exceed the amount actually paid by the CLIENT for the specific service in dispute.

9.1. FORA's Services involve costs incurred with third parties (government agencies, the Registered Agent, partner institutions, online-presence providers) from the moment order processing begins, which is why amounts paid are non-refundable, except as set out in Clauses 9.2 and 9.3.

9.2. This no-refund clause applies to the fullest extent permitted by the law applicable to the CLIENT, without prejudice to any non-waivable rights provided by law, including, where applicable, the right of withdrawal for distance purchases under Article 49 of the Brazilian Consumer Protection Code, exercisable within the legal period and under the conditions set out therein.

9.3. Where a refund is owed under Clause 9.2, it will be processed net of any costs already incurred with third parties that are not recoverable by FORA.

9.4. Mandatory prior procedure: in the event of dissatisfaction, the CLIENT agrees to contact FORA through official channels to attempt an amicable resolution before filing a payment dispute (chargeback) with the card issuer or acquirer.

9.5. Filing a payment dispute without the prior contact required under Clause 9.4, when the service has been fully or partially provided as purchased, may be treated as a breach of contract, without prejudice to FORA's right to submit to the card issuer or acquirer all documentation evidencing performance of the service to contest the dispute.

9.6. FORA will keep records of the services provided, communications exchanged with the CLIENT, and steps completed, which may be used as evidence in the event of a payment dispute.

10.1. The FORA brand, its logo, visual identity, and the Platform's content are the property of the PROVIDER, and may not be reproduced without express authorization.

11.1. The processing of the CLIENT's personal data is governed by FORA's Privacy Policy, which forms an integral part of these Terms.

12.1. FORA may suspend or terminate the provision of Services at any time in the event of the CLIENT's breach of these Terms, including, without limitation, the provisions of Clause 9.5.

13.1. These Terms may be amended at any time. The version in effect on the date of purchase applies to that specific order.

14.1. These Terms are governed by the laws of the State of Delaware, United States of America, with the courts of Delaware having jurisdiction over any disputes, without prejudice to any consumer rights that may be mandatorily applicable under the law of the CLIENT's country of residence.

15.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.2. FORA's tolerance of any breach of these Terms will not constitute a novation or waiver of its right to enforce that provision later.
